By accessing and using HRPulse360 ("Service," "Platform," or "Application"), you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service ("Terms") constitute a legally binding agreement between you and Broadbase Inc. ("Company," "we," "us," or "our").

HRPulse360 is a comprehensive HR management platform designed to facilitate:

• Employee performance tracking and management
• Corrective action documentation and workflows
• HR analytics and reporting
• Employee data management
• Compliance monitoring and audit trails

3. User Accounts and Access

To use our Service, you must:

• Be an authorized employee or representative of an organization with a valid subscription
• Provide accurate, complete, and current information during registration
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

11. Indemnification

You agree to indemnify, defend, and hold harmless Broadbase Inc., its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our platform and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
